TERMS OF SERVICE

These Terms of Service govern your use of Counting Collective's bookkeeping and accounting services. By engaging our services, you agree to these terms.

1. Services Provided

Counting Collective provides professional bookkeeping and accounting services, including but not limited to:

- Monthly bookkeeping and financial record maintenance

- Financial statement preparation

- Tax preparation support and documentation

- Accounts payable and receivable management

- Payroll processing and reporting

- Business consulting and financial analysis

- Specific services will be detailed in your individual service agreement.

2. Client Responsibilities

As our client, you agree to:

- Provide Complete Information: Supply all necessary financial documents, records, and information in a timely manner

- Accuracy of Information: Ensure all provided information is accurate and complete to the best of your knowledge

- Timely Communication: Respond promptly to requests for information or clarification

- Record Keeping: Maintain proper documentation and backup records as advised

- Payment Terms: Pay all fees according to the agreed schedule

- Legal Compliance: Ensure your business operations comply with applicable laws and regulations

3. Our Responsibilities

We commit to:

- Provide services with professional competence and due care

- Maintain confidentiality of your information

- Follow generally accepted accounting principles (GAAP)

- Meet agreed-upon deadlines and service standards

- Communicate clearly about your financial position and any concerns

4. Fees and Payment

- Service Fees: As outlined in your individual service agreement

- Payment Terms: Net 30 days unless otherwise specified

- Late Fees: A 1.5% monthly service charge may apply to overdue balances

- Additional Work: Services beyond the agreed scope will be billed at our standard hourly rates

- Expenses: Out-of-pocket expenses incurred on your behalf will be billed separately

5. Limitation of Liability

-Our liability is limited to the fees paid for the specific service in question

- We are not liable for consequential, indirect, or punitive damages

- Our maximum liability shall not exceed the total fees paid in the 12 months preceding the claim

- We maintain professional liability insurance as additional protection

6. Professional Standards

We adhere to professional accounting ethics and standards

- We are not responsible for detecting fraud, though we will report suspected irregularities

- Final responsibility for financial decisions and tax filings remains with you

- We recommend regular review of financial statements and reports

7. Confidentiality

We maintain strict confidentiality of your information, except:

- When disclosure is required by law or court order

- When authorized by you in writing

- When necessary to defend ourselves in legal proceedings

- As required by professional accounting standards

8. Termination

Either party may terminate services with:

- 30 Days Written Notice: For ongoing monthly services

- Immediate Termination: For breach of these terms or non-payment

- Project Completion: For specific project-based work

Upon termination:

- Final invoices become immediately due

- We will provide a final accounting and return your records

- Confidentiality obligations continue indefinitely

9. Data and Records

- Your Records: All source documents and records belong to you

- Our Work Product: Financial statements, reports, and analyses we create belong to you upon full payment

- Retention: We retain copies of records per professional standards and legal requirements

- Return of Records: Upon request and full payment, we will return or transfer your records

10. Technology and Security

- We use industry-standard security measures for data protection

- You are responsible for maintaining secure access to any shared platforms or portals

- We are not liable for security breaches beyond our reasonable control

- Regular data backups are maintained

11. Dispute Resolution

- Communication First: We encourage direct communication to resolve any concerns

- Mediation: Disputes will first be addressed through professional mediation

- Governing Law: These terms are governed by Florida law

- Jurisdiction: Any legal proceedings will be conducted in Marion County, Florida

12. Changes to Services

We reserve the right to:

- Modify our service offerings with appropriate notice

- Update these terms with 30 days written notice

- Adjust fees annually with 60 days notice

13. Professional Relationship

This agreement creates a professional service relationship, not a partnership

- We are independent contractors, not employees or agents

- You retain full control and responsibility for business decisions
